TULSA, Okla., Dec. 7, 2016 – A privately held oil and gas company and its private equity (PE) partner have selected Stonebridge Consulting to provide mergers and acquisitions (M&A) advisory services in support of a large acquisition comprised of more than 200 employees, 5,000 wells, 4,000 miles of pipeline and 20 field offices across three states.
The company’s growth strategy is built on the acquisition and management of producing and non-producing oil and natural gas properties. It has a proven history of creating asset value through the aggregation of complementary assets as well as the deployment of new oilfield technologies. This strategy is supported by a PE partner that focuses on acquiring strategically viable middle-market companies that exhibit significant upside potential.
Stonebridge’s end-to-end M&A integration services will help the clients realize the full value of the transaction by ensuring a structured transition period and cost-effective, sustainable operations going forward. The clients cited Stonebridge’s in-depth knowledge of the oil and gas assets and its pure-play focus in O&G as decisive factors in selecting Stonebridge over a global management consulting firm.
In the engagement, Stonebridge will assume overall program management responsibility for the integration work scope, objectives, timeline and milestones, reporting to the executive management from both organizations. In this role, Stonebridge will coordinate and execute five major workstreams: Human Resources & Fleet Management, Network & Communications, Land & Accounting, Operations and Information Technology. Upon execution of the purchase sale agreement, the overall M&A integration initiative will commence pre-closing in order to be fully prepared for employee onboarding and to minimize the buyer’s transition services costs.
Stonebridge Consulting President Adam Hutchinson said, “Our clients’ executive management team is seasoned and understands the importance of ‘roll up your sleeves’ execution during an M&A effort. We are privileged that they have entrusted Stonebridge with their M&A Integration project during this exciting new chapter in their respective company’s history. Together, we will lay a foundation that will support their current and future business strategy.”
Stonebridge saw an uptick in its M&A integration services beginning in late 2015. The trend has continued through 2016 with six new M&A Integration engagements. According to Hutchinson, the company anticipates winning additional M&A-related contracts in 2017 given the increased confidence in the market among buyers and sellers.
